Payment and Fee Agreement
Effective Date: August 25, 2016
This Payment and Fee Agreement (this "Agreement") provides information on the fees the Company charges for use of the Platform. This Agreement is part of our Terms of Service. Capitalized terms not defined in this Agreement are defined in the Terms of Service or have the meanings given such terms on the Platform.
By using the Platform on or after the Effective Date, you accept and agree to the terms of this Agreement. We may modify this Agreement from time to time, and if we do so, we will notify you by sending you an email to the last email address you provided to us or by prominently posting notice of the changes on the Platform. By continuing to access or use the Platform after we have posted a modification or have provided you with notice of a modification, you are indicating that you agree to be bound by the modified terms.
1. Fees and Payment Process
There is no cost to student or attorney Users to register to use the Platform, to create an account, to post Projects, or to apply for Projects. When an attorney selects a student to begin working on a Project, the Project Price plus a 15% service fee ("Service Fee") is collected by our third-party payment processor, Braintree, a division of PayPal, Inc. ("Braintree"), and the payment is held in escrow by Braintree's banking partner until the Project is completed and the attorney reviews and accepts the student's work. The Service Fee includes Braintree's 2.9% payment processing charge, meaning an attorney does not pay any additional processing fee.
After successful completion of a Project, both the Project Price and the Service Fee (minus Braintree's processing fee) are disbursed to the student and the Company, respectively.
For example, if an attorney posts a Project with a Project Price of $100, upon selection of a student to work on the Project, the attorney transfers $115 (the Project Price plus the 15% Service Fee) via Braintree to be held in escrow. After the student completes the Project and the work is reviewed and accepted by the attorney, $100 is disbursed to the student and the Service Fee (minus Braintree's payment processing fee) is disbursed to the Company.
We show all fees at the time an attorney selects a student to begin working.
Attorneys and students are required to make and receive all payments relating to, or in any way connected with, a Project through the Platform. See our Terms of Service for more information regarding non-circumvention.
2. Credit Card Authorization
At this time, the Company accepts only major credit cards for payment. You authorize the Company to: (a) run, or have run, credit card authorizations on all credit cards provided by you; (b) store your credit card details as your method of payment; and (c) charge your credit card in payment of any charges and fees you incur on the Platform.
The Company uses Braintree for payment processing. In order for you to use Braintree's payment processing services, you must read and agree to the Commercial Entity User Agreement (CEA) available at https://www.braintreepayments.com/legal/cea-wells and the Payment Services Agreement (PSA) available at https://www.braintreepayments.com/legal/gateway-agreement. By accepting these Terms, you agree: (a) that you have downloaded or printed the CEA, and (b) that you have reviewed and agree to the CEA. You agree that you are responsible for the collection and payment of all taxes that you may be liable for in any jurisdiction arising from your payment or receipt of payment through the Platform. The Company is not responsible for collecting, paying, or remitting to you any such taxes.
4. Project Cancellation and Refund Policy
Attorneys are free to cancel a Posted Project at any time, including after an attorney has received applications from students to work on a Project. At the time an attorney selects a student to begin working on a Project, and the Project becomes an Active Project, the Project Price and the Service Fee are collected. All Service Fees (including Braintree’s payment processing fees) are non-refundable. If an attorney does not approve the work product submitted by a student, the attorney and student will be able to communicate directly to resolve any dispute.
